AlgoLib's products and services are provided by AlgoLib LTD (“AlgoLib”). These Terms and Conditions govern your use of AlgoLib 's website ("Site"), apps, products and services (“Service”). By using our Service, you agree to accept these Terms and Conditions, including the policies referenced in these terms. Please read them carefully, and contact us if you have any questions.

1. License and Acceptable Use

1.1 Our Authorised Users
You may use our Service only in compliance with these terms and all valid laws with AlgoLib. When you create your account, and subsequently when you use certain features, you must provide us with your full legal name, a valid email address, and any other information requested and update the latest accurate information in order to obtain an AlgoLib account. You will ensure that all account information remains complete and accurate.

We are constantly updating and improving our Service, adding or removing features, rules or requirements. You may not transfer, sub-contract or modify your rights and/or obligations under these terms and conditions. AlgoLib also has the right to terminate your authority of using any of our Service for any sensible reason. At the same time, you can end your authority for our Service at any time.

1.2 License to You
Subject to these terms and policies (including the Service-specific eligibility requirements and rules), we grant you a limited, personal, non-exclusive, non-transferable license to use our Service. You can create, access, and use only one account, and will not share with any third party access information for your account. Using our Service does not give you ownership of any intellectual property rights or the content you access.

1.3 Unacceptable Use
Customer must not use this website in the way that may cause damage to the website or impairment of the website accessibility; or for any illegal, unlawful or harmful purpose. You must not republish materials from this website (including all linked information) for any commercial usage, as well as copy, store, transmit or reuse any relevant materials without permission of AlgoLib.

1.4 Restrictions
Customer shall not, and shall not allow others to cause or permit the reverse engineering, disassembly, or decompilation of any portion of any Product, Software, Models and Service provided by AlgoLib; remove any copyright notices or other proprietary notices or restrictions from any of the Product, Software, Models and Service; or sell, sublicense, rent, lease or use any of the Product, Software, Models and Service for time sharing, hosting, service provider or similar purposes.

1.5 Ownership
The Products constitute proprietary works of AlgoLib and its licensors, protected by copyright and other intellectual property laws. Except for the rights granted herein, AlgoLib and its licensors retain all rights, title and interest, including all intellectual property rights.

2. Service

2.1 Business Project and Service
AlgoLib will provide the team and technical support in accordance with your selected plan level. We may provide implementation, configuration, training, and other similar Service related to the Service. All Service, including the research for such projects and Service, will be set out in either an order form or a Statement of Work executed by the Parties ("SOW") which will reference and be governed by these Terms.

Any materials produced by or with AlgoLib for any support or consulting Service to you, shall remain the exclusive property of AlgoLib. Service materials include materials created for or in cooperation with you, but do not include any collected data, your confidential information or the service. You shall reimburse AlgoLib for all reasonable, pre-approved and appropriately documented travel and related expenses incurred by us in performing any support or Service for you under these Terms.

2.2 Use of the Service
Customer will use good faith efforts to minimize the effects of any Product problem consistent with industry standards. Your use of the Service must be in accordance with the usage limits set forth on the applicable order form and the accompanying documentation. If you exceed the usage limits, such as an excess in the amount of Collected Data or concurrent processors, we may notify you and provide you with an opportunity to reduce the excess usage.

2.3 Trial Period and Promotion
From time to time we may offer access to the Service through a trial period or for free, as we determine in our sole discretion. You understand and acknowledge that the Service provided under any trial period or for free may be significantly limited in storage, time and concurrent processing capacity and as such should not be used in a production or live environment. We reserve the right to suspend or terminate the trial period or free Service at any time and for any reason.

3. Payment Terms

3.1 Fees
Customer shall pay to AlgoLib the fees for the Service in accordance with the times specified on the order form. We will make certain payment methods available to you, at our sole discretion. All amounts are payable in British Pound (GBP) and will be due within thirty days of the billing date. Unless otherwise stated, all fees are non-cancelable and non-refundable. If your payment method fails, we may collect fees using other collection mechanisms. But we do not take any responsibility for any losses and/or other issues regarding the payment process, for example, the payment may fail because of the wrong recipients account you tapped, or internet offline.

Fees may vary based on your Service, location and other factors, AlgoLib reserves the right to change any fees at any time at its sole discretion. Any change, update or modification will be effective immediately when posting through the relevant platform. All the information must be subject to AlgoLib official website.

3.2 Taxes
Customer will be responsible for all taxes related to the Service fee or your use of the Service, excluding taxes based on AlgoLib's net income. You will also be responsible for procuring and maintaining all hardware, software and telecommunications services needed to connect your network to the Service and for paying all third-party access.

4. Confidentiality

4.1 Confidential Information
"Confidential Information" means any and all confidential or proprietary information and data of one party (the "Disclosing Party") disclosed to the other (the "Receiving Party") in connection with these Terms. Your Confidential Information includes the collected data, business plans, and the resulting reports. AlgoLiba's Confidential Information includes the Service, algorithms, designs documents, hardware configuration information, know-how, ideas, inventions, market information, processes, products, product plans, research, software, source code, trade secrets and all other applications, tools, and technical information made available to you in connection with the Service.

You retain ownership of all information you submit, post, display, or otherwise make available on the Site or Services. Unless you choose to share your information, we will use reasonable best efforts to keep it private. AlgoLib will not review, share, or otherwise make use of private information except as specifically provided in our Privacy Policy or this Agreement. Confidential Information does not include any information which is or becomes generally available to the public.

4.2. Proprietary Rights
In these terms and conditions, "Content" means all works and materials (including without limitation text, graphics, images, audio material, video material, scripts, software and files) that you submit to us or our website for storage or publication on, processing by, or transmission via, our website.

You understand and acknowledge that (i) the software, code, proprietary methods and systems used to provide the Site or Services, (ii) the design, figures and content of our reports, (iii) the graphical elements of our reports, and (iv) any other intellectual property may not be copied, modified, reproduced, republished, posted, or transmitted unless it is shared content, and no content (other than submitted by you or on your behalf) may be sold, offered for sale, or redistributed in a commercial manner without our prior written permission and the prior written permission of our applicable licensors (if applicable). Our Intellectual Property is the sole property of AlgoLib or its licensors. You must abide by all copyright notices, information, or restrictions contained in or attached to any of Our Intellectual Property.

5. Limited Warranties

We do not warrant or represent: (i) the completeness or accuracy of the information published on our Site; (ii) that the material on the Site is up to date; or (iii) that the Site or any Service on the Site will remain available. AlgoLib reserve the right to discontinue or alter any or all of our Services, and to stop publishing our Site, at any time in our sole discretion without notice or explanation; and save to the extent expressly provided otherwise in these terms and conditions, you will not be entitled to any compensation or other payment upon the discontinuance or alteration of any Services, or if we stop publishing the website. To the maximum extent permitted by applicable law, we exclude all representations and warranties relating to the subject matter of these terms and conditions, our website and the use of this website.

6. General

This Agreement constitutes the entire agreement and understanding between you and AlgoLib and governs your use of the Site and the Services, superseding any prior agreements between you and AlgoLib. This Agreement and the relationship between you and AlgoLib shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law provisions. If any provision of this Agreement is adjudicated invalid or unenforceable, the remaining provisions will remain in effect and the Agreement will be amended to the minimum extent necessary to achieve, to the maximum extent possible, the same legal and commercial effect originally intended by the parties. Notwithstanding the foregoing, either party may assign this Agreement in its entirety (including all Order Forms) without consent of the other party in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets provided the assignee has agreed to be bound by this Agreement and all past due fees are paid in full. This Agreement will not be construed as creating an agency, partnership, joint venture or any other form of association, for tax purposes or otherwise between the parties, and the parties will at all times be and remain independent contractors. Except as expressly provided in this Agreement, no amendment, or modification of this Agreement will be effective unless in writing and signed by a duly authorized signatory of each party.
